SpotMagic – interactive media for Learning Spin-Off Project
This year we have focused on developing Spot MediaSync applications for Education. Since January, we've been working with a group of students and instructors at the University of Phoenix Oregon Campus to create an educational application for SpotMagic's Desktop Broadcasting technology. Recently we added another partner to the development program, Marylhurst University, and expect to have Stanford University and several others join this Fall. The reaction from both instructors and students to our application, imL StudyGroup, has been very positive.
This success has prompted us to spin-off our distance learning application to a new company, interactive media for Learning, Inc. (imL). This strategy will give us the ability to take advantage of new funding sources that otherwise wouldn't be interested in SpotMagic itself.
SpotMagic and its shareholders will retain a significant equity position in the new company, receive license fees and royalty payments, and eventually realize a gain from a liquidation event.
To get imL launched we have been raising seed funds using the same mechanism that we used for SpotMagic - a note convertible to the first issue of shares at a conversion ratio of 50% of the per/share price that purchasers of the First Round pay. That means seed investors receive 2 to 1 leverage for investing at the founders level.
Seed round funds go to support the technology development, the early marketing efforts, and first round funding raising of $1.5 million.
